DRAFT FOR COUNSEL REVIEW. Written by Corvant against the platform as built. Not effective until counsel has reviewed it and the effective date is confirmed.
This disclosure is given under the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. 7001 and following) and applicable state law. Read it before you sign anything electronically with Corvant.
1. What you are consenting to
Corvant is operated by Imperium Sky Ventures Inc. ("Corvant", "we", "us"). When you use the platform we may ask you to sign documents and to receive records electronically instead of on paper.
By consenting, you agree that:
- your electronic signature has the same legal effect as a handwritten one;
- we may provide required records to you electronically; and
- you have the hardware, software and access described in section 4.
Your consent is voluntary. If you do not consent, tell us and we will discuss whether a paper alternative is available for the document in question. Some services may not be available without electronic signature.
2. The records this covers
This consent applies to records Corvant provides in connection with your account, including:
- fee agreements and engagement terms;
- authorizations connecting an importer's account to a customs broker's account, and any consent to share records with a broker;
- an importer's request to be introduced to a law firm;
- these Terms, the Privacy Policy, the Regulatory Disclosures, and changes to any of them;
- notices, confirmations and receipts relating to your account.
It does not cover filings with U.S. Customs and Border Protection. Corvant does not file with CBP. Anything you submit to CBP is signed and submitted by you or by your customs broker, under CBP's own rules and any separate authorization CBP requires. Consenting here does not authorize Corvant to sign anything on your behalf.
3. How electronic signing works
Signing is carried out through a third-party electronic signature provider on our behalf. You will be asked to review the document, adopt a signature, and confirm. We retain a record of the signed document together with the audit information the provider captures, which may include the signer's name and email address, the date and time of signature, and technical identifiers such as an IP address.
You should review any document in full before signing it. If a document does not say what you expect it to say, do not sign it and contact us.
4. What you need
To sign and to receive records electronically you need:
- a current version of a common web browser with cookies and JavaScript enabled;
- a valid email address that you check, and that can receive mail from us without blocking it;
- a device able to open PDF documents; and
- the ability to print or to save a copy of anything you sign, if you want one for your records.
If our requirements change in a way that creates a material risk you could not access or retain records, we will tell you and give you the chance to withdraw your consent.
5. Paper copies
You may request a paper copy of any record we have provided to you electronically. Write to legal@corvant.io with enough detail to identify the record. We do not charge for this.
Requesting a paper copy does not, by itself, withdraw your consent.
6. Withdrawing your consent
You may withdraw this consent at any time by writing to legal@corvant.io.
Withdrawal takes effect once we have had a reasonable opportunity to act on it. It applies going forward only: it does not undo the legal effect of any document you have already signed electronically, and it does not affect records already provided to you.
If you withdraw consent, we may be unable to continue providing some or all of the service, and we will tell you if that is the case.
7. Keeping your details current
It is your responsibility to keep your email address and other contact details accurate in the platform, and to tell us promptly if they change. Records sent to an address you have not kept current are still treated as provided to you.
8. Signing on behalf of a company
If you sign on behalf of a company, partnership or other organization, you confirm that you are authorized to bind it and that this consent is given on its behalf as well as your own.
Where an authorization concerns a customs broker's access to an importer's records, both parties must consent. A customs broker's obligations regarding client records, including under 19 CFR 111.24, remain the broker's own.
9. Scope of this consent
This consent covers records provided by Corvant. It does not extend to documents provided to you by a customs broker, a law firm or any other third party, each of which is responsible for its own disclosures and consents.
