Corvant Affiliate Agreement

This Affiliate Agreement ("Agreement") sets out the terms for participating in the Corvant Affiliate Program. Corvant (corvant.io) is operated by Imperium Sky Ventures, Inc., a Texas corporation ("Corvant," "we," "us"). By registering as an affiliate, you ("Affiliate," "you") agree to these terms. If you do not agree, do not register.

This is meant to be read and understood, not decoded. It is written plainly on purpose.

1. What you are

You are an independent affiliate. You are not an employee, partner, agent, or legal representative of Corvant. Specifically:

You are responsible for your own taxes. If your earnings require it, you will receive a Form 1099.
You get no employee benefits, insurance, or compensation other than the commissions described here.
You cannot bind Corvant to anything, speak for Corvant, or sign on Corvant's behalf.
Nothing here creates an employment, partnership, or joint-venture relationship.

There is no fee to join.

2. What you do

Your role is to introduce prospective clients to the Corvant platform and to point them to your referral link.

You may:

Share your referral link and tell people what Corvant does at a high level.
Introduce importers, brokers, and others who could benefit from the platform.

You may not:

Give legal, tax, or financial advice.
Represent yourself as the provider of the recovery or filing work.
Perform recovery, filing, or advisory work yourself.
Claim to be an employee, agent, or official representative of Corvant.

Corvant handles the actual analysis, filing, and any legal work. You make the introduction; we do the work.

3. How referrals are tracked

A referral counts when a new account signs up through your referral link and is not someone Corvant already knew or was already working with, and was not already referred by another affiliate. Corvant determines, in good faith, whether a referral qualifies. Tracking is by first touch: an account is credited to the first affiliate who referred it.

4. How you get paid

Commissions are earned on the accounts you refer, on the terms Corvant provides to you when you register and as updated from time to time.
Payouts are made directly through Mercury, our banking provider. They are not made through a card processor or through the Corvant platform itself. When you are approved, we set you up as a payment recipient in Mercury; you provide your own payout details to Mercury directly, so your banking information never sits with Corvant.
Payouts run every two weeks. A commission is paid out on the regular biweekly payout that follows the close of the commission period in which it was earned and became payable. Nothing is paid before the period it belongs to has closed.
Commissions are payable only when the revenue behind them has actually been received by Corvant, and only while you are an affiliate in good standing.

No commission is paid on cancelled engagements, refunds or chargebacks, or revenue Corvant never collects.

5. What gets you removed (and costs you unpaid commissions)

If you violate this Agreement, Corvant may suspend or terminate you, and you forfeit any unpaid commissions. The things that will do it:

Making false, misleading, or exaggerated claims about Corvant, its results, or its fees.
Guaranteeing refunds, results, or specific amounts. You may never promise an outcome.
Spamming. No unsolicited commercial email, no purchased or scraped lists. Follow CAN-SPAM and equivalent laws: real sender identity, a physical address, a working unsubscribe.
Bidding on "Corvant" branded search keywords, or impersonating Corvant on search engines or social media.
Using the Corvant name, logo, or marketing materials without prior written permission (see Section 6).
Using the name, logo, or brand of any Corvant partner (law firm, factoring company, bank, payment processor, or technology vendor) as a trust signal or to imply endorsement. This is not allowed even if the reference is accurate.
Cookie stuffing, forced redirects, bots, click farms, or any fraudulent means of generating traffic or referrals.
Promoting Corvant on adult, hate, gambling, or illegal-activity sites.
Failing to disclose that you are an affiliate (see Section 7).

Corvant monitors affiliate activity and may require non-compliant material to be taken down promptly. Serious or repeated violations end the relationship.

6. Using the Corvant brand

The Corvant name, wordmark, and logo belong to Imperium Sky Ventures, Inc. You may reference Corvant to introduce prospective clients. You may not use the Corvant logo in any format without written permission first, and you may not register domains, brands, or social accounts using Corvant's name or marks. To request logo or brand use, email affiliates@corvant.io with your intended use.

You may never use the names or logos of Corvant's partners in your marketing.

7. Disclosing that you're an affiliate

Follow FTC rules. In any content that promotes Corvant, clearly and up front tell people you're an affiliate and may earn a commission if they sign up through your link. On social, use a clear tag such as #ad, #sponsored, or #affiliate. In video, say it and show it on screen. Disclosures go at the top, not buried in a footer.

8. Confidentiality

Keep Corvant's non-public information confidential: client data, financial details, compensation specifics, business strategy, and internal processes. This continues after you leave the program.

9. The basics

You confirm you are legally able to enter into this Agreement and are not restricted by a conflicting one.
You may run other businesses, as long as they don't conflict with this Agreement or misrepresent your relationship with Corvant.
Corvant may update this Agreement, the program, and the payout terms. If we make a material change, we'll let you know; continuing as an affiliate after that means you accept the update.
This Agreement may be accepted electronically and is binding when you do.
This Agreement is governed by the laws of the State of Texas, and any dispute is handled in the state or federal courts in Harris County, Texas.

10. Acknowledgment

By registering as a Corvant affiliate, you confirm you have read, understood, and agree to these terms.
